End-User License Agreement (EULA)

By installing or using WING Companion ("the Software"), you agree to the following terms. If you do not agree, do not install or use the Software.

1. License Grant

Simon Waloschek Labs ("we", "us") grants you a personal, non-exclusive, non-transferable, perpetual license to install and use the Software on your own computers, subject to these terms.

  • Trial use is free of charge for 7 days from first launch. All features are available during the trial period. After 7 days, a purchased license key is required to continue using the Software.
  • A purchased license key allows continued use after the trial period. Each key may be activated on up to three (3) devices simultaneously. A device is identified by its unique hardware fingerprint.

2. Purchase

Licenses are sold through Link (Link, LLC, a Stripe company), which acts as the reseller and merchant of record for all orders. Payment, invoicing, applicable taxes (such as VAT or sales tax), and refunds are handled by Link under its own terms. This agreement governs your use of the Software itself. 3. Restrictions

You may not:

  • Redistribute, sublicense, rent, lease, or lend the Software or your license key to any third party.
  • Reverse-engineer, decompile, or disassemble the Software, except where applicable law expressly permits it.
  • Remove or alter any proprietary notices, labels, or marks in the Software.
  • Use the Software for any purpose that violates applicable law.

4. Activation & Connectivity

The Software requires a one-time online activation to validate your license key. After activation, the Software operates fully offline. The Software may periodically contact our server to check for updates. During update checks, the Software transmits the following data for license abuse detection: application version, platform, a cryptographic hash of your device identifier, your license key (if activated), and the date your trial period began (if applicable). No audio data, recording content, or personal information beyond what is listed here is transmitted at any time.

5. Intellectual Property

The Software, including all code, graphics, and documentation, is the intellectual property of Simon Waloschek Labs and is protected by copyright law. This license does not grant you any ownership rights in the Software.

6. Updates

Purchased licenses include all updates within the current major version (v1.x). Future major versions may require a separate license. We are under no obligation to provide updates, but if we do, they are governed by this agreement unless accompanied by a new EULA.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Audio recording inherently depends on your hardware, drivers, and system configuration. We do not guarantee uninterrupted or error-free recording. You are responsible for verifying your recordings and maintaining appropriate backups.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMON WALOSCHEK LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF RECORDINGS, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

Our total aggregate liability under this agreement shall not exceed the amount you paid for the license.

9. Termination

This license is effective until terminated. It terminates automatically if you breach any of these terms. Upon termination, you must uninstall the Software and destroy all copies.

10. Consumer Rights (EU)

If you are a consumer in the European Union, nothing in this agreement affects your statutory rights under applicable consumer protection law. In accordance with Article 16(m) of the EU Consumer Rights Directive, you acknowledge that the right of withdrawal expires once the license key has been delivered, provided you have given your prior express consent. Withdrawal and refund requests for a purchase are handled by Link as the seller (see section 2).

11. Governing Law

This agreement is governed by the laws of the Federal Republic of Germany. If you are a consumer in the EU, you additionally benefit from the mandatory consumer protection provisions of your country of residence.
